  14. Your Additional Representations and Warranties. In addition to any other representations and warranties, you further represent and warrant to us, under penalty of perjury:
    • You have not and will not access or use the Site from any place or jurisdiction where such use is prohibited or contrary to applicable laws, rules, regulations, ordinances, edicts or customs, and you are not a national or resident of any country which the United States has embargoed goods; identified as a "Specially Designated National;" or placed on the Commerce Department's Table of Deny Orders;

JOLLY & ASSOCIATES, LLC OR ANY OF ITS MEMBERS, OFFICERS, AGENTS, EMPLOYEES, OR CONTRACTORS BE LIABLE FOR ANY DAMAGES SUFFERED BY ANY PERSON, INCLUDING ANY INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, ANY LOST PROFITS OR DAMAGES FOR BUSINESS INTERRUPTION, LOSS OF INFORMATION, PROGRAMS OR OTHER DATA) UNDER ANY THEORY OF LIABILITY THAT RESULT FROM ACCESS TO, USE OF, OR INABILITY TO USE THE SITE; IMAGES, TEXT, DOCUMENTS, CONTENT, OR INFORMATION ON THE SITE; OR DUE TO ANY BREACH OF SECURITY ASSOCIATED WITH THE TRANSMISSION OF INFORMATION THROUGH THE INTERNET OR THE SITE, EVEN IF BRAD S. JOLLY & ASSOCIATES, LLC WAS ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
  17. Indemnification. You agree to defend, indemnify and hold harmless Brad S. Jolly & Associates, LLC and all of its departments, officers, agents, and/or employees from all claims, losses, suits, damages, liabilities and expenses of whatever kind or nature, including reasonable attorneys' fees, arising out of or resulting in any way from any negligent, reckless or intentional act, error, omission or mistake and/or strict liability of you or any person employed by you, or anyone for whose acts you are legally liable arising from the improper use of the Site or Brad S. Jolly & Associates, LLC's products, services, or offerings; the violation of these Terms; the infringement or use by any other person of you account; or the infringement of any copyright, trademark, patent, other intellectual property right, or other right of any person or entity.

  23. Jurisdiction/Governing Law. You agree that any and all proceedings relating to the Site and the subject matter contained herein shall be maintained in the courts of the County of Adams, State of Colorado or the federal district court for the District of Colorado, which courts shall have exclusive jurisdiction for such purpose and you expressly consent to the personal jurisdiction of such courts.

  26. Severability. If any provision or portion of these Terms is declared void and unenforceable, such provision or portion of such provision shall be deemed severed from these Terms which shall otherwise remain in full force and effect. Further, if any such provision or portion of such provision may be reduced and/or narrowed in scope of the like, such provision or portion of such provision shall be reduced, narrowed, and/or the like, and so enforced. The same shall apply to any portion of any provision.
  27. Electronic Communications. By using the Site, you consent to receiving electronic communications, e.g., email, from Brad S. Jolly & Associates, LLC and its subsidiaries and affiliated entities. These communications will include notices and information concerning or related to the Site. These communications are part of your relationship with Brad S. Jolly & Associates, LLC.   28. Merger. This Agreement contains the complete agreement and understanding between you and Brad S. Jolly & Associates, LLC, and no statements, promises or inducements made by Brad S. Jolly & Associates, LLC that are not contained in these written Terms shall be valid or binding.
  29. Time Limitations of Claims. You agree that any claim or cause of action arising out of or related to these Terms or your use of the Site must be filed within one (1) year after such claim or cause of action arose or be forever barred.
  30. Modification. No waiver, modification, or amendment of these Terms or of any covenant, condition or limitation contained in these Terms shall be valid unless in writing. The provisions of this paragraph may not be waived, except as set forth in this paragraph.
  31. Gender and Interpretation of Terms and Provisions. As used in these Terms and whenever required by the context thereof, each number, both singular or plural, shall include all numbers, and each gender shall include all genders. "Brad S. Jolly & Associates, LLC" and "You" as used in these Terms or in any other instrument referred to in or made a part of these Terms shall likewise include both the singular and the plural, a corporation, trade name, "dba", limited liability company, limited liability partnership, co-partnership, other legal entity, individual or person acting in any fiduciary capacity as executor, administrator, trustee, or in any other representative capacity. All covenants herein contained on the part of you shall be joint and several.
